PartyPlease Terms & Conditions

Host Terms and Conditions

This agreement is made and entered into between PartyPlease, hereinafter referred to as the "Platform," the party planner (hereinafter referred to as the "Planner"), and the client, hereinafter referred to as the "Host."

1. Services Provided:

The Planner, hired through the Platform, agrees to provide event planning services based on the needs of the Host. These services may include, but are not limited to:

Event concept and theme development

Venue selection and booking

Décor design and setup

Vendor coordination (catering, entertainment, etc.)

On-site event coordination and management

The exact scope of services vary based on Hosts’ needs, and are captured in paid quotes by the Planner.

2. Payment Terms:

The Host agrees to pay for services rendered by the Planner as follows:

Non-refundable commitment fee: A non-refundable commitment fee of $100 (may be higher for higher total party budgets) is due upon signing this agreement to secure the Planner’s services.

By submitting the initial commitment fee, the Host acknowledges and agrees to all terms and conditions.

Hourly and fixed rates: The Planner’s services are billed at the rates agreed upon during initial consultations, and in the fee descriptions. Rates and costs will be presented to the Host in a quote, along with any agreed-upon additional fees for specific services (e.g., on-site coordination).

Fee structure: Quotes may include a combination of vendor service fees, planner service fees, a Platform service fee, and a payment processing fee. The vendor and planner service fees may vary per quote. The Platform does not govern or influence the pricing established by vendors, and planners independently set their own rates.

Markup Policy: The Platform reserves the right to add a service fee or markup to Planner rates and Vendor fees before presenting them to clients. This markup is part of the Platform's operational structure and is used to ensure the continued availability and quality of services provided by the Platform.

Payment plans: For parties with a total cost exceeding $2,000 and a date of at least 30 days from the point of payment, a payment plan may be requested, and will be calculated as follows.

For parties more than 45 days away, we require 3 payments:

The 1st payment is for 1/3rd of the balance

The 2nd payment is for 1/3rd of the balance, and occurs 45 days from the party.

The 3rd payment is for the remaining 1/3rd of the balance, and occurs 30 days from the party.

For parties more than 30 days away (but less than 45), we require 2 payments:

The 1st payment is for 50% of the balance.

The 2nd payment is for the remaining 50% of the balance, and occurs 30 days from the party.

Late payments: Full payment is required to be made by 30 days from the date of the party. Any late payments beyond this agreed deadline will incur a 10% late fee. The Platform reserves the right to pause or terminate services if payments are not made by the specified due date.

Payment method: Payment can be made via the PartyPlease website only through our third party payment processor, Stripe. This third-party payment processor accepts payments through various credit cards, as detailed on the applicable payment screen.

Payment Processing: The Platform uses a third party to process all payments. All monetary transactions take place in U.S. dollars. When a Host uses The Platform to pay for a quote, the Host authorizes the purchase and delivery of the services and items. The Host’s credit card statement will reflect the final total amount charged.

Pre-Authorization: By submitting the initial commitment fee, the Host agrees that the Platform will obtain a temporary pre-authorization of their payment method to cover the cost of the services and items they have purchased, along with any estimated taxes and fees. The Platform will exercise this pre-authorization under the following conditions:

If Host becomes unresponsive to their planner for 7 days or more, effective at midnight eastern time on the 7th day, without prior notice, the Platform reserves the right to charge the pre-authorized card up to $500 to cover up to 10 hours of planning time. The standard PartyPlease refund & cancellation policy will also apply (Section 5).

If any additional services or items are added to the party within 72 hours of the party start time, or if any items remain unpaid at the party start time, these services and items will be charged to the pre-authorized payment method and Host will be provided a final itemized invoice at the conclusion of the party.

3. Booking Confirmation and Payment:

The Host is responsible for providing accurate event details and ensuring that all payment information is valid and up to date.

The Platform will handle payments from the Host on behalf of vendors, deducting any applicable commission or transaction fees.

4. Vendor Booking & Responsibilities:

Once the Planner has presented Vendors to the Host, these vendors may only be booked through the PartyPlease platform. Hosts are prohibited from contacting or booking these presented Vendors outside of their Planner or outside of the PartyPlease platform.

Planners present Vendors based on Host needs and budget requirements. Any terms will be presented to Hosts, and Host is responsible for reading Vendors’ specific terms and conditions. Hosts accept these upon quote payments.

Hosts should communicate their event requirements clearly to the Planner, including date, time, location, and specific services or special requests needed.

Hosts are responsible for understanding and automatically accepting the Vendor’s cancellation and payment policies upon booking.

Host assumes full responsibility for all vendor contracts signed by Planner or Host, and any fees incurred for breaking contracts and payments, automatically upon payment.

5. Cancellation & Refund Policy:

Host-initiated cancellations: Commitment fees and platform services fees are non-refundable under any circumstance.

Additionally, any planner or vendor fees for work completed up to the point of cancellation are also non-refundable and must be paid by the Host. This includes payments made to third-party Vendors on behalf of the Host and any fees incurred for these payments.

Failure to respond: If Host becomes unresponsive to their planner for 7 days or more, effective at midnight eastern time on the 7th day, without prior notice, the Platform reserves the right to charge the pre-authorized card up to $500 to cover up to 10 hours of planning time. The Platform reserves the right to also terminate the agreement, retain all payments made to date, and potentially pursue legal action to collect additional unpaid fees for time worked or vendor costs.

Refunds: If the Host needs to cancel a booking, we offer a straightforward refund policy.

Full Refund: Cancel at least 30 days prior to the party date to receive a full refund of your party payments to vendors. Service fees, commitment fees, and planner fees for any time worked are non-refundable.

Partial Refund: Cancel at least 14 days before the party date to receive a 50% refund from vendor fees only. Platform service fees, commitment fees, and planner fees for any time worked are non-refundable.

No Refund: Cancellations made less than 14 days before the party date are non-refundable, as our vendors would have already set aside resources for your party.

6. Host Responsibilities:

The Host agrees to provide timely decisions and feedback on event details such as themes, décor preferences, vendor selection, and any other relevant planning decisions. Delays in responding may impact the event’s planning timeline, and neither the Platform nor the Planner will be held liable for any resulting issues.

7. Liability & Indemnity:

PartyPlease and the Planner are not liable for damages, injuries, losses, or disruptions caused by third-party vendors or any acts outside their control, including but not limited to weather conditions, natural disasters, or venue malfunctions.

Host assumes full responsibility for all Vendor contracts signed by Planner or Host, and any fees inquired for breaking contracts and payments automatically, upon payment.

The Host assumes full responsibility for their guests and any damages incurred to venues or property during the event.

Hosts agree to indemnify and hold the Platform harmless from any claims, damages, or liabilities arising from the services provided by the vendors.

8. Compliance with Laws and Regulations:

Hosts must comply with all applicable laws, regulations, and licensing requirements related to their event and the use of vendor services.

9. Force Majeure:

Neither the Platform nor the Planner shall be liable for any failure or delay in performing their obligations under this agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, government restrictions, labor disputes, or other emergencies.

10. Termination of Account:

The Platform reserves the right to suspend or terminate a Host's account for any violation of the terms and conditions or for behavior that is deemed harmful or inappropriate.

11. Dispute Resolution:

In the event of any disputes arising from this agreement, the parties agree to first seek resolution through mediation. If mediation fails, any further legal proceedings shall be governed by the laws of the state of Delaware, United States.

12. Entire Agreement:

This agreement constitutes the entire understanding between the Host and the Platform and supersedes any prior or contemporaneous agreements, discussions, or communications, whether oral or written. Any amendments to this agreement must be made in writing and signed by both parties.
